What this guide covers
Actors reviewing a former manager’s commission demand.
A short questionnaire explains which records may matter and produces a document checklist. It does not assess eligibility or predict a case outcome.
Documents discussed in this guide
- Full management agreement and annexes
- Existing/new project and season agreements
- Complete offer, brokerage and service correspondence
- Termination, demand, reply and receipt records
- Producer receipts, actor transfers and separate accounts
- Payment order, litigation, mediation and full service records

An actor’s appointment of another manager does not automatically extinguish every monetary claim by the former manager. Equally, having previously worked together does not confer an unlimited share of every later income stream. Separate episode fees on an ongoing series, a project secured before termination and genuinely new work later obtained independently. The first task is to identify the service and contractual provision said to support the money claimed.
1. The word “commission” does not itself determine the legal regime
Did the manager merely arrange a project connection, or undertake continuing duties such as monitoring offers, negotiation, representation, scheduling and collection? Article 502 of the Turkish Code of Obligations addresses mandate, while Article 520 governs brokerage aimed at facilitating or mediating the conclusion of a contract. Management can combine several obligations; its label does not justify applying one provision to everything. Percentage remuneration does not itself make the arrangement a commission contract in the Code’s technical sense.
For a brokerage component, Article 521 ties remuneration to conclusion of the underlying contract through the broker’s activity; a condition precedent and agreed expenses require separate treatment. For continuing services, examine the duties and remuneration arrangement. Read the actor’s own agreement alongside the agency–producer agreement and any tripartite arrangement. Special form and duration rules for football agents cannot be imported into acting merely because both use the term “manager”.
2. Separate an existing project from genuinely new work
Build a table by agreement, season, episode or advertising period rather than relying only on a project name: when was the offer made, who negotiated, when was the main agreement concluded and which income formed the agreed base? A continuing agreement secured through the former manager may differ from a later project negotiated on entirely different terms. A new season or extension cannot automatically be classified as existing or new work without the wording and negotiation records.
For example, if the signed series agreement secured by the manager continues and only the representative changes, examine the commission clause tied to that agreement. For an unrelated advertisement later obtained through the actor’s own connection, examine the scope and applicability of any post-termination clause and the former manager’s contribution. These examples guarantee no outcome. A demand reaching indefinitely into all earnings and an accrued fee tied to a specified project cannot be accepted or rejected on an identical basis.
3. Why do termination grounds and timing matter?
To the extent mandate rules apply, Article 512 permits unilateral termination; loss caused by termination at an inopportune time is a separate issue. The provision alone establishes neither that no remuneration is payable nor that every remaining commission immediately falls due. Earned service remuneration, commission contractually attached to a continuing project and loss caused by termination are separate items. Each requires its own legal basis and calculation.
If the actor left because remuneration was not passed on or duties were not performed, support that allegation with dated records. Article 506’s loyalty and care obligations and Article 508’s duties to account and deliver what was received matter. Preserve the complete termination notice, dispatch and receipt evidence, earlier demands and agency responses. The date of appointing a new manager alone does not prove fault by the old one; a bank transaction does not explain the whole account unless matched to the relevant obligation.
4. The Court of Cassation decision creates no automatic commission rule
In its decision of 27 June 2019, E.2018/393, K.2019/7835, the Court of Cassation’s 13th Civil Chamber considered an actor’s allegation that collected acting fees had not been transferred and the manager’s claim to commission on a series agreement continuing after termination. The Chamber required all evidence to be considered when assessing justified termination, including reciprocal notices, emails and the defence that the producer had paid by cheque. It set aside the regional appellate decision and remitted in the manager’s favour because the examination was incomplete.
That does not mean the manager conclusively won the commission claim or that the actor necessarily terminated without justification. The practical lesson is not to reduce the dispute to the termination date or a single payment record. The case concerns historical events; its percentage, calculations and requested compensation rate are no tariff for current agreements. A present claim requires separate assessment under applicable current rules and its own documents.
5. Commission, expenses and money due to the actor are separate accounts
Do not compress acting fees retained by the manager and commission demanded from the actor into one undifferentiated balance. Show producer receipts, transfers to the actor, the agreed commission base, deductions and documented expenses separately. Compare net/gross remuneration, tax, usage fees and per-episode entitlements using their contractual meanings. Incurring an expense does not invariably make it chargeable to the actor or automatically available for set-off.
Where brokerage rules apply, separately consider the conditions for loss of rights through disloyal conduct under Article 523 and reduction of excessive remuneration under Article 525. These are not shortcuts invalidating every high percentage. In particular, identify the character of payment from the other side, breach of duty and the requirements of good faith. Accurately separating disputed, admitted and already paid items also strengthens the reliability of the actor’s defence.
6. Which procedural route and court apply?
One may first request the agreement and account statement; contesting the debt, obtaining accounts, recovering money or seeking a declaration of non-liability require separate assessment at the relevant stage. A connection with the arts does not make every commission dispute an intellectual-property action. In its decision of 17 May 2013, E.2013/6846, K.2013/10262, the Court of Cassation’s 11th Civil Chamber affirmed the intellectual-property court’s lack of subject-matter jurisdiction because the particular management, consultancy and funding claims did not arise from FSEK right ownership. That decision likewise does not determine the competent court for every current dispute.
Examine Article 2 of the Code of Civil Procedure absent a special jurisdiction rule, and Articles 4–5 of the Commercial Code where commercial-action conditions are met. The agency’s corporate form alone does not make every dispute commercial. Check Article 5/A mandatory mediation for commercial monetary, objection-annulment, non-liability and restitution actions. Venue generally requires assessment of the defendant’s domicile and contractual place of performance. Under Article 190, each party proves the facts supporting a legal consequence in its favour; do not assign every burden in advance to one side.
7. Do not confuse a demand letter with a payment order
An invoice or lawyer’s demand from the former manager is not a payment order issued by an enforcement office. If an ordinary non-judgment payment order has been served, promptly examine Article 62’s seven-day period, the scope of debt or signature objections and service records. A timely objection stops enforcement; it does not conclusively extinguish the debt. Article 67’s one-year period for an objection-annulment action starts when the objection is served on the creditor. Do not automatically apply that timetable to another enforcement route or court document.
Limitation of the underlying debt is separate. Article 147(5) provides five years for mandate and the brokerage claims within its scope, but excludes commercial brokerage remuneration; absent another special provision, Article 146’s ten years may apply to that exception. In mixed management arrangements, the label “commission” does not select a single period. Examine maturity and each instalment under Article 149. A demand alone does not interrupt limitation; assess Article 154 events such as acknowledgment, proceedings and enforcement. Their effects differ from those of procedural periods.
8. What records should accompany a review?
Collect the full agreement and annexes, existing/new project contracts, complete offer correspondence, termination and receipt evidence, producer collections and actor transfers in one chronology. Electronic data may constitute documents under Article 199; a single screenshot does not itself resolve content, authorship and integrity issues. Making the commission basis, period, calculation base, service and payment matching visible identifies the real dispute. Preparation aims to support the appropriate claim and defence with actual records, rather than produce an automatic finding of debt or justified termination.
